Terms of Service
Cancelbox sits in front of cancellation. You stay responsible for your customer contracts. We stay responsible for routing the next honest move and counting only confirmed saves.
Cancelbox, Inc. · Questions: legal@cancelbox.co
1. Agreement
These Terms are a contract between you and Cancelbox, Inc. for the Cancelbox product. By creating an account, starting a workspace, or clicking to accept, you agree to them. If you use Cancelbox for a company, you confirm you can bind that company.
Privacy is described in the Privacy Policy. Processing of end-customer data is also governed by the DPA. Acceptable Use is at /aup.
2. The service
Cancelbox is software that helps you present a contextual next step when a subscriber tries to cancel: a downgrade, a limited discount, support, help, or a clean cancellation. Pause is not included in the current release. Cancelbox does not replace Stripe and is not a bank, money transmitter, or payment processor.
3. Accounts and workspaces
- Keep login credentials confidential and use a work email you control.
- You are responsible for members you invite and for actions taken in your workspace.
- We may suspend access to protect the service, other customers, or if fees are unpaid.
- You can export session and route data and request deletion as described in the Privacy Policy.
4. Stripe connection
You connect a Stripe account with Stripe Connect OAuth. You never give Cancelbox a Stripe secret key. Tokens stay encrypted on the server. You authorize Cancelbox to read subscription context and to perform only the billing actions a customer accepts in a session: a configured discount, a mapped downgrade, trial extension where eligible, or cancellation at period end.
Stripe remains the source of truth. If Stripe cannot apply an action, Cancelbox will not claim a save. Test and live Stripe environments stay separate.
5. Fair cancellation
You agree that you will not use Cancelbox to:
- Hide, delay, or obstruct cancellation.
- Misstate prices, dates, or what changes if a subscriber accepts a route.
- Force a call, chat, or guilt copy before someone can leave.
- Collect card details outside Stripe.
Every hosted flow must keep a clear path to continue cancelling. Exact billing consequences must be shown before acceptance. This is a product rule and a contract rule.
6. What counts as a saved subscription
An accepted offer is not a confirmed save until Stripe reports the billing change. Pending updates, clicks, and failed API calls do not count as saved. Net retained MRR is MRR saved minus discount cost. Cancelbox’s dashboards follow that definition. You may not represent Cancelbox metrics as cash collected.
7. Fees, trials, and refunds
Cancelbox bills its own Launch, Growth, and Agency plans through Stripe Checkout. Taxes may apply. Plan limits (workspaces and cancellation sessions) are described at purchase. See Refunds for refunds and cancelling your Cancelbox subscription.
8. Your data and our IP
You retain rights to your workspace content, routes, and customer data. You grant Cancelbox a limited license to host and process that data to provide the service. Cancelbox retains the product, design, and software. Feedback you send may be used to improve the product without obligation.
9. Acceptable use and suspension
You must follow the Acceptable Use Policy. We may remove content or suspend a workspace that violates these Terms, harms subscribers, or creates legal risk. We will notify the owner when it is lawful and practical to do so.
10. Disclaimers, liability, indemnity
The service is provided “as is.” We do not warrant uninterrupted operation or that every Stripe action will succeed. To the maximum extent allowed by law, Cancelbox is not liable for lost profits, lost MRR you expected, or indirect damages. Our aggregate liability for a claim is limited to the fees you paid us in the 12 months before the claim.
You will defend and indemnify Cancelbox against claims arising from your subscriber contracts, your pricing, your misuse of the product, or your violation of law—except to the extent caused by our willful misconduct.
Some jurisdictions do not allow certain limitations. Those limitations apply only to the extent permitted.
11. Term, law, and changes
These Terms continue until you close the workspace or we terminate for cause. Provisions that should survive (fees owed, confidentiality, limitations) do survive. These Terms are governed by the State of Delaware, United States, without regard to conflict-of-law rules. Courts in state or federal courts located in Delaware have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction.
We may update these Terms. The “Last updated” date will change. Material changes will be posted in the Legal center and emailed to the workspace owner. Continued use after the effective date is acceptance. Questions: legal@cancelbox.co.
